1. Agreement to Terms
By accessing or using the website located at xtpsolutions.com ("Site"), placing an order, or creating an account, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and all policies incorporated by reference, including our Privacy Policy, Refund Policy, Research Use Disclaimer, and Cookie Policy. If you do not agree, do not use the Site or place any orders.
These Terms constitute a legally binding agreement between you and XTP Solutions ("Company," "we," "us," or "our").
2. Eligibility and Buyer Qualification
2.1 Age Requirement

2.2 Research Use Only (RUO) Certification
All products sold by XTP Solutions are intended strictly for Research Use Only (RUO) as defined by the FDA. These products are sold exclusively for laboratory research, pharmaceutical research, or the development of analytical testing methods.
By placing an order, you certify and warrant that:
- You are a qualified researcher, scientist, chemist, or institutional professional with appropriate training and facilities to handle research-grade compounds
- You understand and agree that these products are not for human or animal consumption of any kind
- You will not use, administer, or cause to be administered any product purchased from XTP Solutions to any human being or animal
- You will not misrepresent the intended use of these products
- You are not purchasing products for resale or redistribution without our express written authorization
- You have the knowledge, training, and facilities appropriate for handling research compounds in a controlled laboratory environment
2.3 Jurisdictional Compliance
It is your sole responsibility to verify that the purchase, possession, importation, and use of any product ordered from XTP Solutions is legal in your jurisdiction. XTP Solutions makes no representations that products are legal, approved, or appropriate for use outside the United States or in any specific locality. You assume full legal responsibility for compliance with all applicable laws, regulations, and institutional review requirements in your jurisdiction.
Orders shipped internationally are done so at the buyer's risk and in compliance with U.S. export regulations. We reserve the right to refuse any order at our discretion.
3. FDA Compliance and Disclaimer
The statements made within this website have not been evaluated by the U.S. Food and Drug Administration (FDA). XTP Solutions is a chemical supplier and is not a compounding pharmacy, chemical compounding facility (as defined under 503A of the Federal Food, Drug, and Cosmetic Act), or outsourcing facility (as defined under 503B of the Federal Food, Drug, and Cosmetic Act).
All products sold by XTP Solutions are research-grade chemicals intended for in vitro laboratory use only. These products are not drugs, dietary supplements, or cosmetics, and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
4. Account Registration
To purchase from the Site, you are required to create an account.
You agree to:

5. Products and Orders
5.1 Product Descriptions
We make every effort to accurately describe our products, including purity, concentration, quality specifications, and packaging. Product information is provided "as-is" without warranty. If you have concerns about product specifications or composition, contact our team before purchase.
5.2 Order Acceptance
Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, inability to verify buyer eligibility, or concern that the buyer may not comply with RUO terms.
Payment will only be charged upon order confirmation. We may request additional verification of buyer qualification before fulfilling orders.
5.3 Pricing and Payment
All prices are listed in U.S. dollars. We accept payment methods as listed on the checkout page at the time of purchase. Prices are subject to change without notice. You are responsible for any applicable taxes, duties, or import fees.
5.4 Shipping and Risk of Loss
Orders are shipped according to our Shipping Policy at xtpsolutions.com/shipping-policy. Risk of loss passes to you upon delivery to the carrier. XTP Solutions is not responsible for delays caused by shipping carriers, customs authorities, or other third parties outside our control.
Due to the fragile nature of our products and rigorous quality control standards, please inspect shipments upon receipt. Report any damage, loss, or discrepancies within 24 hours of delivery to support@xtpsolutions.com.
6. No-Returns Policy
All sales are final and non-refundable. Due to rigorous quality control standards and the fragile nature of our products, XTP Solutions does not accept returns of any kind. Once a product has been shipped and delivered, it cannot be returned, exchanged, or refunded except in the limited circumstances of documented damage, loss, or error as outlined in our Refund Policy.
In the rare occasion that an order arrives with missing, incorrect, or damaged items, please contact support@xtpsolutions.com with photographic evidence within 24 hours of delivery. We will investigate and may offer a replacement shipment or store credit at our sole discretion.
7. Prohibited Uses
You agree not to use the Site or any products purchased from XTP Solutions to:
- Administer compounds to any human being or animal
- Manufacture, distribute, or sell controlled substances or illegal products
- Violate any applicable federal, state, local, or international law or regulation
- Infringe on the intellectual property rights of XTP Solutions or any third party
- Engage in fraudulent, deceptive, or misleading conduct
- Misrepresent the intended use of products
- Circumvent or attempt to circumvent any security or access controls on the Site
- Scrape, harvest, or collect data from the Site without written permission
- Resell products without our express written authorization
Violation of any of the above may result in immediate account termination, order cancellation, permanent banning from future purchases, and referral to appropriate authorities.
8. Intellectual Property
All content on the Site, including text, graphics, logos, product images, technical documentation, and software, is the property of XTP Solutions or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XTP SOLUTIONS PROVIDES THE SITE AND ALL PRODUCTS "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT PRODUCTS WILL MEET YOUR SPECIFIC RESEARCH REQUIREMENTS OR EXPERIMENTAL OUTCOMES
- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES
- WARRANTIES REGARDING PRODUCT PURITY, COMPOSITION, OR EFFICACY FOR ANY PARTICULAR USE
XTP Solutions makes no representation that products are appropriate, legal, or safe for any use outside controlled laboratory research as explicitly stated in our Research Use Only (RUO) disclaimer.
Some jurisdictions do not allow exclusion of implied warranties. To the extent such exclusion is not permitted, those warranties are limited to the minimum extent required by applicable law.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, XTP SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or research outcomes
- Any damages arising from your use or inability to use our products or Site
- Personal injury, property damage, environmental harm, or regulatory penalties
- Any consequences of misuse, improper handling, or violation of RUO terms
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow limitation of certain damages. In such cases, liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless XTP Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms, including misrepresentation of buyer qualification or intended use
- Your misuse, improper application, or unauthorized use of any product purchased from XTP Solutions
- Your violation of any applicable law, regulation, or institutional policy
- Any third-party claims arising from your actions, including regulatory investigations or enforcement actions
- Your failure to comply with RUO terms or Research Use Only (RUO) certification
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. You consent to personal jurisdiction in the state and federal courts located in Lancaster County, South Carolina.
12.2 Informal Resolution
Before initiating any formal proceeding, you agree to contact XTP Solutions at support@xtpsolutions.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve complaints within 30 days.
12.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your purchase shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Lancaster County, South Carolina. The arbitrator's decision shall be final and binding.
You waive your right to participate in a class action lawsuit or class-wide arbitration.
12.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via notice on the Site. The "Last Updated" date reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice. Upon termination, all licenses and permissions granted to you under these Terms immediately cease. Sections 8 through 11 survive termination.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Research Use Disclaimer, and Cookie Policy, constitute the entire agreement between you and XTP Solutions regarding your use of the Site and supersede all prior agreements, representations, or understandings.
